IMPORTANT: The business-market.md platform is intended exclusively for B2B customers — legal entities. This document does not apply to sales to individuals acting as consumers.

1. General Provisions and Scope

These Terms and Conditions establish the rules governing access to and use of the website business-market.md, registration of B2B accounts, and the general terms applicable to orders, order confirmation, delivery, acceptance, and payment for products sold by Business Market SRL through the online platform.

The platform is intended exclusively for legal entities purchasing products for purposes related to their commercial or professional activities. The website is not intended for purchases made by individuals acting as consumers.

By registering an account, logging into the website and/or submitting an order, the person acting on behalf of the Buyer confirms that they have the authority to represent the respective legal entity and that they have read, understood, and accepted these Terms and Conditions.

Where a distribution agreement, sales agreement, commercial agreement, price list annex, individual payment terms, or other signed documents exist between Business Market SRL and the Buyer, such documents shall prevail over these Terms and Conditions to the extent that they contain different provisions.

3. Who May Become a Platform Customer

Accounts and orders on business-market.md may be created exclusively for legal entities accepted by Business Market SRL as B2B customers.

The person requesting registration declares that they provide true, complete, and up-to-date information and that they are the administrator, employee, or authorized representative of the legal entity for which the account is being created.

For customer verification purposes, Business Market SRL may request, as applicable:

the full legal name and tax identification number/IDNO;
contact details and the registered office/delivery address;
an extract from the State Register or other identification documents of the legal entity;
details of the person authorized to place and/or receive orders;
bank details and information necessary to establish payment terms;
permits, authorizations, licenses, notifications, or other documents required by law for certain categories of products, where applicable.

Business Market SRL reserves the right to refuse account activation, request additional information, or temporarily suspend access to an account if the information provided cannot be verified, is incomplete, there are overdue payment obligations, or commercial or legal compliance risks arise.

4. Registration and Use of the B2B Account

During registration, the user may be required to provide information such as first name, last name, e-mail address, telephone number, tax identification number, password, and other information necessary to identify the company and manage the commercial relationship.

The Buyer is responsible for maintaining the confidentiality of access credentials and for all actions performed through their account by persons to whom the Buyer has granted access.

In the event of a change in responsible persons, termination of an employment relationship with a user, or suspicion of unauthorized access, the Buyer must notify Business Market SRL without delay and request that access be modified or blocked.

Account activation/validation procedure: following verification by the supervising manager.

5. Products, Catalogue, Prices and Availability

Products available to B2B customers are presented in the online catalogue, subject to the assortment and stock available for each customer, category, or territory.

Product images, descriptions, packaging, and other visual elements are provided for informational purposes only. Manufacturers may modify packaging, labels, or other presentation elements, and such changes shall not, in themselves, constitute product non-conformity.

Applicable prices may be general or individual, depending on the commercial agreement, customer pricing category, promotions, volume, sales channel, or other conditions agreed with Business Market SRL.

VAT treatment of prices displayed on the website: prices include VAT.

Availability displayed on the website is indicative until the order is confirmed. Business Market SRL may confirm an order in whole or in part depending on stock availability, commercial limits, logistical restrictions, or legal requirements applicable to the products.

6. Placing, Confirming and Modifying Orders

The Buyer may select products available through their account, add them to the shopping cart, and submit an order through the online platform.

Submitting an order through the website constitutes a purchase request from the customer and does not, by itself, constitute automatic acceptance of the order by Business Market SRL.

The order becomes confirmed and binding upon the parties after issuance of the invoice.

Business Market SRL may propose adjustments to quantities, replacement of certain items, changes to the delivery period, or partial delivery, provided that the Buyer is informed before execution of the order.

Modification or cancellation of an order by the Buyer after confirmation is possible only with the manager's approval.

In the event of any inconsistency between commercial documents, the following order of priority shall apply:

the agreement signed between the parties;
annexes and individual commercial terms;
the confirmed order/invoice;
these Terms and Conditions,

unless otherwise agreed by the parties in writing.

7. Commercial Terms

Discounts, bonuses, promotions, and other commercial benefits apply only under the conditions communicated to the customer and may not be combined unless Business Market SRL expressly confirms otherwise.

Business Market SRL may establish credit limits, quantity limits, minimum order thresholds, or other individual conditions based on the customer's commercial history, customer category, existing agreement, and the company's risk policy.

8. Payment Methods and Terms

Orders shall be paid by bank transfer.

The payment period is established individually and may result from the agreement, commercial annex, invoice, order confirmation, or terms approved in the customer's account.

Unless otherwise provided in the commercial documents, payment shall be deemed made on the date the funds are credited to the bank account of Business Market SRL.

In the event of late payment, Business Market SRL may suspend confirmation and/or delivery of subsequent orders until outstanding obligations are settled and may apply late-payment interest, penalties, or other remedies provided by law and/or by the agreement between the parties.

9. Order Delivery

Business Market SRL performs deliveries using its own transport and/or other logistics methods approved by the company, under the conditions established for each customer.

Delivery days: Monday–Saturday, 08:00–18:00
Delivery cost: according to individual commercial terms
Estimated delivery period: 24–48 hours, subject to change depending on the route, volume, product availability, traffic, weather conditions, public holidays, or other operational circumstances.

The Buyer must ensure access to the delivery location and the presence of an authorized person to receive the goods and sign the relevant documents.

10. Delivery, Documents and Acceptance of Products

Upon delivery, the products shall be accompanied by the documents required by law and by the commercial relationship between the parties, including, where applicable, the tax invoice, delivery note, transport documents, and relevant conformity documents.

The Buyer or its authorized representative must verify upon receipt the quantity, assortment, packaging integrity, and any visible damage.

The products shall be deemed delivered upon receipt and signing of the relevant delivery/acceptance documents, tax invoice, or delivery note by the Buyer's representative, as applicable.

Any discrepancies in quantity or visible damage must be reported immediately upon receipt. Such non-conformities must be recorded in the delivery documents or in a document signed by the parties, where required by the internal procedure.

11. Complaints, Non-Conformities and Returns

Correctly delivered and compliant products may not be returned solely because the Buyer has changed its decision, unless Business Market SRL accepts the return in writing or the agreement between the parties expressly provides for such possibility.

Depending on the circumstances, the Buyer may request replacement, return, or compensation for products delivered incorrectly, damaged, or non-compliant, in accordance with applicable law and the relevant agreement.

For excise goods or products subject to a special regulatory regime, returns are possible only in compliance with applicable legal, tax, traceability, and product-integrity requirements, including packaging and mandatory markings, where applicable.

The deadline for submitting complaints regarding defects/non-conformities that could not have been identified upon receipt shall be determined by the applicable agreement and legislation.

12. Products Subject to a Special Regulatory Regime

For categories of products subject to special commercial requirements, including alcoholic beverages, tobacco products, or other regulated products, the Buyer declares and warrants that it holds all rights, permits, authorizations, notifications, or licenses required by applicable law for the purchase, receipt, storage, and/or sale of such products, where such documents are required for its activities.

Business Market SRL may request supporting documents before activating an account, confirming an order, or delivering products and may refuse a transaction if legal or compliance requirements have not been fulfilled.

The Buyer is responsible for complying with all legal obligations applicable to the resale and promotion of products, including rules concerning sales to final consumers, minimum age requirements, advertising, and any restrictions specific to the relevant product category.

13. Personal Data

Within the B2B relationship, Business Market SRL may process the personal data of the Buyer's representatives, employees, and contact persons for the purposes of account administration, order processing, delivery, invoicing, communication, receivables management, and compliance with legal obligations.

The Buyer undertakes to provide Business Market SRL only with personal data that it is legally entitled to provide and to inform its contact persons about the transfer of such data whenever required by applicable legislation.

14. Intellectual Property and Use of the Website

The content of business-market.md, including texts, structure, graphic elements, logos, photographs, databases, and other materials, is protected under applicable law and may not be copied, distributed, modified, or used for commercial purposes without the consent of the rights holder, except where permitted by law.

Users are prohibited from using the website for fraudulent purposes, attempting to gain unauthorized access to accounts or systems, interfering with the operation of the platform, or using automated means to extract data without authorization.

15. Amendments to the Terms and Conditions

Business Market SRL may update these Terms and Conditions to reflect changes to the platform, commercial processes, services, legal requirements, or internal policies.

The updated version shall be published on business-market.md and shall indicate the date of the latest update.

For orders already confirmed, the rules applicable at the time of confirmation shall apply, except for amendments that are mandatory under applicable law.

For customers with signed commercial agreements, amendments to such agreements shall be made in accordance with the procedure provided in the relevant agreement and shall not be automatically replaced by publication of a new version of these Terms and Conditions.
